Steps to Draft Memorandum of Association (MoA) in Nepali

Here’s a simple step-by-step guide to prepare your MoA in Nepali:

Step 1: Download the MoA Format from OCR Nepal

The Office of the Company Registrar (OCR) provides a sample MoA format for both private and public companies. We have also listed a sample MoA format. Use this format as a base and modify it according to your company type and business activities.

Step 2: Write the Company Name in Nepali

Your company name should be clearly written in Nepali language, exactly as it was approved by OCR during name reservation.
Example: कम्पनी सेवा प्रा.लि.

Make sure your name matches the one mentioned in the Name Approval Letter.

Step 3: Mention the Registered Office Address

Include the full address of your company in Nepali, including:

  • Province
  • District
  • Municipality or Ward Number
  • Contact details (if applicable)

Example:
प्रदेश नं. ३, काठमाडौं जिल्ला, काठमाडौं महानगरपालिका–३२, नेपाल।

Step 4: Define the Objectives of the Company (उद्देश्यहरू)

Write down your company’s main and ancillary objectives in Nepali.

  • मुख्य उद्देश्य: कम्पनी दर्ता, अद्यावधिक, शेयर हस्तान्तरण, र कम्पनी बन्द सम्बन्धी सेवा प्रदान गर्नु।
  • सहायक उद्देश्य: कानूनी परामर्श र व्यवसायिक सहयोग प्रदान गर्नु।

Step 5: Specify the Authorized and Issued Capital

Mention the total authorized capital (पुँजी), number of shares, and value per share in Nepali.
Example:
कुल स्वीकृत पुँजी रू. १०,००,००० (दश लाख रुपैयाँ मात्र), १००० शेयरहरू, प्रत्येक शेयरको मूल्य रू. १०००।

Step 6: Define the Liability of Shareholders

In most private companies, shareholders’ liability is limited to the value of their shares.
Example in Nepali:
यस कम्पनीका शेयरधारकहरूको दायित्व उनीहरूको शेयरको अंकित मूल्यसम्म मात्र सीमित रहनेछ।

Step 7: Include the Names and Signatures of Promoters

List all promoters (स्थापक शेयरधारकहरू) along with:

  • Their full name
  • Address
  • Number of shares taken
  • Signature

Each promoter must sign the MoA in front of a witness (साक्षी).

Step 8: Translate into Nepali (If Original is in English)

If your MoA was first drafted in English, it must be translated into Nepali before submission to OCR.
Both versions should match exactly in meaning and content.
